Terms of Service

1. Acceptance of Terms
By accessing or using Call Platform (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not use the Service.
2. Description of Service
Call Platform provides VoIP and telecommunications services, including call routing, reporting, artificial intelligence (AI) agents, and account management. We reserve the right to modify or discontinue the Service at any time without notice.
3. User Obligations and Account Security
You are strictly responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You agree to provide accurate information and comply with all applicable laws while using the Service. You are solely responsible for all activities that occur under your account. We accept no liability for any loss, damage, or fraudulent activity arising from your failure to adequately secure your account credentials or from unauthorised access to your account by third parties.
4. AI Agents and Third-Party Integrations
The Service includes the facility for calls to be handled by AI agents and allows for integration with third-party systems via Model Context Protocol (MCP) servers, OAuth, and other methods. We provide the infrastructure for these tools; however, you are entirely and solely responsible for their configuration, deployment, prompting, and the permissions you grant them.
JMB Technology Ltd accepts no responsibility or liability for any security implications, data breaches, incorrect information provided to callers, or unauthorised actions taken by the AI agent resulting from your configuration. You acknowledge that AI technologies are subject to inherent unpredictability, and you assume all risks associated with deploying these agents to interact with your customers or connected systems.
5. Payments and Billing
Fees for the Service are billed in accordance with the rates specified on our platform. All payments are non-refundable unless otherwise stated. Failure to pay may result in suspension of services.
6. Acceptable Use Policy
You agree not to use the Service for any unlawful purpose, including but not limited to:
- Auto-dialling or "robocalling" in violation of local laws.
- Transmitting prohibited, abusive, or fraudulent content.
- Interfering with the security or integrity of the platform.
- Using AI agents to deceive callers, impersonate individuals without consent, or conduct social engineering.
7. Data Protection
Both parties agree to comply with all applicable data protection and privacy laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Where you use the Service to process the personal data of your customers, you act as the Data Controller, and JMB Technology Ltd acts as the Data Processor. You are responsible for ensuring you have the necessary lawful basis and consents for any data processed through our Service, including voice recordings and AI transcripts.
8. Intellectual Property
All content and software provided as part of the Service are the property of JMB Technology Ltd or its licensors and are protected by copyright and other intellectual property laws.
9. Warranties and Disclaimers
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service, including the AI agents and telecom routing, will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, JMB Technology Ltd shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Service. This comprehensive limitation of liability includes, but is not limited to, damages for:
- Loss of profits, revenue, or business.
- Loss of credibility, reputation, or goodwill.
- Fraudulent telecommunications activity (e.g., toll fraud) occurring on your account.
- Unauthorised access to your account due to compromised passwords.
- Misconfiguration of AI agents, MCP servers, or OAuth integrations.
- Actions, statements, or errors made by AI agents communicating with your customers.
11. Indemnification
You agree to indemnify, defend, and hold harmless JMB Technology Ltd, its directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Service, your breach of these Terms, your misconfiguration of AI agents or integrations, or your violation of any third-party rights.
12. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
